INCENTREV’S “BEST IN THE CITY”
OFFICIAL PROMOTIONAL GUIDELINES

A complete copy of these guidelines can be obtained by contacting incentRev LLC (“Sponsor”), 780 Johnson Ferry Road, NE Atlanta GA 30342, during available business hours Monday through Friday, on the website www.bestinthecity.com, at the office of any of the participating radio markets as further described below, or sending a self addressed, stamped envelope to the above address.

Sponsor will conduct the “Best in the City” promotion (“Promotion”) substantially as described in these Official Guidelines, and by participating, each participant agrees as follows:

1. All Federal, State, and Local Regulations Apply

ALL FEDERAL, STATE, AND LOCAL REGULATIONS APPLY.

2. Promotional Period

The Promotion will begin at 9:00am ET on January 12, 2026 and will run through 11:59pm ET on January 25, 2026 (“Promotional Period”).

3. Eligibility

Any individual eighteen (18) years or older may participate.

4. Promotion Details

During the Promotional Period, participants may visit www.bestinthecity.com (“Website”) to nominate and/or vote for eligible local businesses located in the participating radio markets listed on the Website in certain designated categories through the official “Best in the City™” ballot on the Website. At the end of the Promotional Period, Sponsor will review all nominations/votes and determine, in its sole discretion, a winner in each category.

Limit one (1) vote per person, per day, unless otherwise specified. Automated voting, bots, scripts, or any other means of artificial vote manipulation are prohibited and may result in disqualification.

5. Verification of Participants

THE ELIGIBILITY OF ALL POTENTIAL PROMOTION PARTICIPANTS IS SUBJECT TO VERIFICATION BY SPONSOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION. Participants must continue to comply with all terms and conditions of these Official Guidelines, and participating is contingent upon fulfilling all requirements.

Participants may be required to sign and return to Sponsor necessary documentation, including a liability/publicity release (except where prohibited), to participate, if applicable.

6. Entry Conditions and Release

By participating, each participant agrees to: (a) comply with and be bound by these Official Guidelines and the decisions of Sponsor, which are binding and final in all matters relating to this Promotion; (b) release and hold harmless Sponsor, Cumulus Media Inc., and its subsidiaries, related and affiliated companies, participating sponsors, suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Promotion, and each of their respective past and present officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s entry, submission or acceptance of a trade offer, participation in the Promotion, acceptance or use or misuse of item and/or the broadcast, exploitation or use of a trade offer; and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees) arising out of or relating to participation in the Promotion and/or acceptance, use, non-use or misuse of any item received in the Promotion.

7. Publicity

Except where prohibited, participation in the Promotion constitutes participant’s consent to use by Sponsor and its agent of the participant’s name, likeness, photograph, voice, opinions and/or biographical information (including hometown and state) for promotional purposes in any media, worldwide, without further payment or consideration, unless otherwise prohibited by law.

8. Taxes

All State, Local, Federal and/or other taxes, duties, tariffs, title fees, licensing fees, or other fees for any items received/awarded as part of the Promotion become the sole responsibility of the recipient of the item.

9. General Conditions

Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the nomination/voting process or the operation of the Promotion or to be acting in violation of these Official Guidelines or acting in an unsportsmanlike or disruptive manner.

Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Guidelines shall not constitute a waiver of that provision.

10. Limitations of Liability

The Released Parties are not responsible for:

  1. Any incorrect or inaccurate information, whether caused by Sponsor, participants, printing or display errors or by any of the equipment or programming associated with or utilized in the Promotion;
  2. Technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in website connectivity, network hardware or software;
  3. Unauthorized human intervention in any part of the Promotion;
  4. Technical or human error which may occur in the administration of the Promotion; or
  5. Any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion.

11. Disputes

Participants agree that:

  1. Any and all disputes, claims and causes of action arising out of or connected with this Promotion, or any trade items, shall be resolved individually, without resort to any form of class action;
  2. Any and all disputes, claims and causes of action arising out of or connected with this Promotion shall be resolved exclusively by the United States District Court or the appropriate state court located in the state of Georgia;
  3. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees;
  4. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO ALL PARTICIPANTS.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Guidelines, or the rights and obligations of participant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the state of Georgia, without giving effect to any choice of law or conflict of law rules or principles.

12. Participant’s Personal Information

Information collected from participants is subject to Sponsor’s Privacy Policy, which is available on the Website under the “Privacy Policy” link.

All forms, devices, and materials gathered during the course of participation, as well as all information contained therein, shall become the sole property of Sponsor to be used, disposed of or destroyed in its sole discretion.

Sponsor is not responsible for any incorrect or inaccurate information entered by website users, and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to the Website.

13. Summary

A summary of results of the Promotion may be obtained within thirty (30) days after the Promotion Period expires by sending a self-addressed stamped envelope to Sponsor identified below.
